1. Agreement

By accessing or using websites or services operated by Justransform.com LLC ("Justransform," "we," "us"), you agree to these Terms & Conditions and our Privacy Policy. If you accept on behalf of an organization, you represent that you have authority to bind that organization.

2. Services

We provide enterprise software, integration, EDI, and related platform capabilities. If you purchase or subscribe to paid services, additional terms in an order form, statement of work, or master agreement apply and control over conflicting provisions in these terms. Use of public marketing and informational pages on this site is governed by these terms together with our Privacy Policy and Cookie Policy.

3. Accounts

You are responsible for safeguarding account credentials and for activity under your account. Notify us promptly at support@justransform.com if you suspect unauthorized access. We may suspend access to address security risks or violations of these terms or applicable law.

4. Your data

You retain rights in data you submit to our services. You grant us permission to host, process, and use that data as needed to provide, secure, and improve the services, as described in our Privacy Policy and any data processing terms we agree with you in writing.

5. Acceptable use

You agree not to:

• Use the site or services in violation of law or third-party rights;
• Attempt to gain unauthorized access to systems, accounts, or data;
• Interfere with or disrupt the site or services or other users' access;
• Transmit malware, spam, or unlawful or infringing content;
• Reverse engineer, decompile, or disassemble our software except where prohibited law permits.

6. Intellectual property

Justransform and its licensors own the services, software, branding, documentation, and site content, subject to any open-source or third-party components we disclose. Except for limited rights expressly granted to you, no ownership is transferred.

7. Fees

Fees, billing, and taxes for paid services are set out in your order or agreement. Unless stated otherwise, fees are exclusive of applicable taxes, which you are responsible for where required.

8. Disclaimers

Except as expressly stated in a written agreement for paid services, the site and any free or trial offerings are provided as is and as available. To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of liability

To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, or data. Our aggregate liability arising from the site or these terms (excluding paid services governed by a separate agreement) is limited to the greater of one hundred U.S. dollars (USD $100) or the amounts you paid us for the specific service giving rise to the claim in the twelve months before the claim. Nothing limits liability that cannot be limited under applicable law.

10. Indemnity

You will defend and indemnify Justransform against third-party claims arising from your data, your misuse of the site or services, or your violation of these terms or law, provided we give prompt notice and reasonable cooperation.

11. Term and termination

We may suspend or terminate access for material breach if not cured where cure is reasonable. Paid subscriptions terminate according to your agreement. Provisions that should survive (including intellectual property, disclaimers, limitation of liability, and governing law) survive termination.

12. Changes

We may update these terms by posting a revised version on this site with a new effective date. Continued use after changes constitutes acceptance where permitted by law. For subscribed services, material changes may be addressed as set out in your agreement.

13. Governing law

These terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Subject to mandatory protections where you reside, exclusive jurisdiction and venue for disputes arising from the site or these terms lie in the state and federal courts located in Santa Clara County, California.
